BOARD OF SCHOOL DIRECTORS OF THE

POTTSTOWN SCHOOL DISTRICT

RESOLUTION

FEBRUARY 18, 2010

            WHEREAS, the Board of School Directors of Pottstown School District (the “Board”) has sought proposals for architectural services for a window replacement project at the Edgewood and Rupert Elementary Schools (the “Project”); and

            WHEREAS, the Board has received such proposals for the Project; and

            WHEREAS, the Board desires to proceed expeditiously with the award of a contract for architectural services for the Project.

            NOW, THEREFORE, be it resolved, by the Board as follows:

            RESOLVED, that after review and due consideration of all proposals, the Board hereby awards a contract for architectural services (the “Contract”) for the Project to Crabtree, Rohrbaugh and Associates, Inc. (“CRA”) in the amount stated herein, and subject to the conditions stated herein; and

            RESOLVED, that CRA’s compensation for the “Basic Services” described in the Contract for architectural services shall be the lesser of: (i) a not-to-exceed fee of twenty thousand dollars ($20,000); or (ii) six and one-half percent (6.5%) of the Cost of the Work (as defined in the Contract) for the Project; and

RESOLVED, that the award of the Contract for architectural services for the Project is expressly made contingent upon receipt of a list of reimbursable expense rates that is satisfactory to the administration for Pottstown School District; and

RESOLVED, that the Board hereby authorizes the Board President or other appropriate Board representative to execute the Contract for architectural services for the Project upon submission by CRA of a list of reimbursable expense rates that is satisfactory to the administration for Pottstown School District; and

RESOLVED, that the Board further authorizes its officers and administration to take any and all necessary actions in order to effectuate the intent and purposes of this resolution.

            DULY ADOPTED, by the Board of School Directors of Pottstown School District, the 18^th day of February, 2010.
